Affiliate Program Agreement

1. Terms and conditions

IMPORTANT: THESE TERMS AND CONDITIONS IS A LEGAL AGREEMENT BETWEEN YOU AND THE IS*HOSTING FOR PARTICIPATION IN THE IS*HOSTING AFFILIATE PROGRAM AS MANAGED BY IS*HOSTING'S INTERNAL PROGRAM (“AGREEMENT”). BY REGISTERING FOR AND PARTICIPATING IN OUR PROGRAM, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DO NOT SIGN UP FOR OR PARTICIPATE IN THE PROGRAM. IF YOU ARE ALREADY AN IS*HOSTING AFFILIATE AND DO NOT AGREE TO THE ENTIRE AFFILIATE AGREEMENT, THEN IMMEDIATELY TERMINATE ALL USES OF IS*HOSTING AFFILIATE MATERIALS AND ANY AFFILIATE LINKS TO IS*HOSTING WEBSITE.

The purpose of the Affiliate Program (the “Program”) is to allow you to refer people or businesses to the is*hosting using special trackable web links in a way that allows us to confirm which individuals or businesses you refer to us so that we can, under the terms of the Affiliate Program, pay you the appropriate commission on Fees (the "Reward" or "Earned Credits").

By participating in the Affiliate Program you agree that you will not engage in any illegal activities or infringe any provisions of these Terms or provisions of other related Terms and Policies related to the use of Service or abuse the Affiliate Program against its purposes.

Participating in the Affiliate Program doesn’t mean creating a partnership, joint venture, agency, or franchise between the parties in the legal sense of these terms. The Affiliate shall not sign any document in the name of, or on behalf of the is*hosting nor shall it hold itself out as being an agent of the is*hosting or as having apparent authority to contract for or bind the is*hosting. You agree not to use any predatory advertising methods designed to generate traffic from websites that they have not contracted with in the online promotion of the is*hosting Services or the Affiliate Program. Predatory advertising is defined as any method that creates or overlays links or banners on websites, spawns browser windows, or any method invented to generate traffic from a website without that website owner's knowledge, permission, and participation. Participation in predatory advertising Programs will be cause for the Affiliate's immediate termination.

Without restricting the generality of the foregoing, the Affiliate shall not send unsolicited email and shall not send email or any other communication to a recipient if the recipient has requested that you discontinue such communication.

The is*hosting disclaims all liability for the methods of distribution of the referral link by any of the above methods, as well as others recognized by the is*hosting as unacceptable matters.

If you are accepted to participate in our Affiliate program and your site or any other source is thereafter determined (at our sole discretion) to be unsuitable based on the criteria below, we reserve the right to terminate this Agreement:

1. Promotion of discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
2. Promotion of sexually explicit, pornographic or obscene content (whether in text or graphics);
3. Promotion of illegal activities;
4. Promotion of content that is in any way unlawful, harmful, threatening, defamatory, obscene, harassing or racially, ethnically or otherwise objectionable;
5. Promotion of content drugs, gambling, crime or death or any other inappropriate content specified in these Terms and other related Terms and policies but not limited to;
6. Promotion of any unlawful behavior or conduct;
7. Acting on behalf of the is*hosting or any legal entities or persons which you’re not affiliated or incorporated to represent such legal entities or persons
8. Auto-traffic generators or traffic exchanges; and
9. Any other material deemed inappropriate or offensive by the is*hosting.

2. Rewards

Affiliates earn commissions (rewards) based on the amount of sales they deliver each month only for VPS, Dedicated server, VPN and Data storage. Affiliates don’t earn commissions (rewards) from selling additional services – IP-addresses, OS licenses, ISP licenses, additional RAM, disk, backups not included in the basic plan, and DDoS protection not included in the basic plan.

There are no commissions (rewards) in cases when the abovementioned services are already included for an additional price in your plans' basic configuration.

Below described the percentage of reward based on the number of sales for every unique referral.

VPS, VPN, Data Storage

Dedicated servers

On the very first purchase of your referral you’ll get a fixed bonus:

• 50% from the first purchase of the referral - VPS, VPN, or Data storage 
• 15% from the first purchase of the referral - Dedicated server

Active referral means a user who purchased at least 1 service in the is*hosting.

If your invoice has several items, you’ll get a reward only from the first item.

All sales must originate from the affiliates unique tracking URL. The tracking URL we provide must not be altered. It is unique to each affiliate and any changes could result in inaccurate statistics generated and for commissions not to be credited for a sale. The is*hosting will not be responsible for, nor give credit for, sales that do not have your unique tracking URL attached to it.

It is to our sole discretion as to whether or not an affiliate sale is legitimate or not. The is*hosting reserves the right to deny rewards and/or performance tier increases for reasons including, but not limited to, poor quality affiliate traffic, conversions, low sale cost, high rate of cancellations and low renewals. We reserve the right to chargeback or deny commissions for faster or higher than normal cancellation rates. We also reserve the right to adjust commission rates below our base rate for performance reasons.

3. Payments

Rewards can be used when affiliates reach a minimum amount on the referral balance. You’ll be able to see the minimum amount in the Affiliate program section. The is*hosting may in its sole discretion change the minimum amount in any time without a prior notice. Please, visit the Affiliate program section to see relevant information. All funds are paid in U.S. dollars. To initiate referral funds withdrawal you need to open a corresponding ticket in a Billing section.

Referral funds can be:

• withdrawn with any relevant available method of payment;
• transferred to the main balance for paying for is*hosting services (adding funds from the referral balance)

IMPORTANT: Paying for is*hosting services directly from the referral balance is unavailable. You can only withdraw referral funds or transfer them to the main balance.

Average time of reviewing requests to withdraw funds from the referral balance is 24 hours. This time can be extended according to the support team workload.

4. Affiliate restrictions

The following restrictions apply to all affiliates. If at any time these restrictions are not adhered to, this Agreement will be terminated, you will be removed from the Affiliate program and any unpaid commissions will be canceled and will not be paid. It is to our discretion whether these terms were violated.

• Affiliates may not use their affiliate link for self-referring accounts used for their own personal use.
• Use of browser extensions as a way to set affiliate IDs or refer affiliate traffic to any is*hosting sites or resources.
• Affiliates cannot use traffic exchanges or incentive offers.
• Affiliates cannot earn commissions on their own purchases.
• Affiliates cannot use in their promoting activities or in any other way use any variations of branding or copyrighted materials of is*hosting including but not limited to any mentioning or variation of is*hosting name, misspelling or combination of words in the primary domain name of their site and/or social media websites where the is*hosting affiliate link resides.
• Affiliates may not format pages with affiliate links through to ishosting.com with iframes or any other disguising methods.
• Affiliates are prohibited in making a representation; either expressed or implied that visitors to your site or any other web-resource are visiting the is*hosting site or any official social media pages of the is*hosting.
• Affiliates are prohibited in using spam or any other unsolicited mass email campaigns.
• Affiliates cannot promote the is*hosting via a browser add on or toolbar.
• Affiliates cannot engage in a relationship with ISPs and/or mobile carriers resulting in the delivery or act of address bar keyword and URL trafficking.
• Affiliates are prohibited from promoting the is*hosting or/and their referral links on sites where the primary function or value of the site is to distribute coupon/promotional codes.
• Affiliates cannot promote exclusive offers that are negotiated through non affiliate channels.
• Affiliates cannot promote to audiences that, at our discretion, are using our service as a trial, get quick schemes, tests or only for a short term (which can include, but not limited to a classroom settings or encouraging signups up merely to receive an incentive). Affiliates using these tactics will be removed from the program and forfeit commissions. It is the is*hosting’s sole discretion to decide the model of using the is*hosting’s services by affiliates and referrals. 
• Agencies (web design, web development or any other website service vendor) may sign up on behalf of your customer though you must use your client's details during the checkout process and a payment method belonging to the customer (for example, the customer's card). You may not sign up on behalf of a customer under your agency's client details nor pay for the invoice on your client's behalf.
• Affiliates cannot promote the is*hosting in their advertising or any other materials in terms and conditions that are incorrect in their meaning or interpretation due to the general positioning of the is*hosting as a reliable and trustful hosting provider. Any terms or interpretations such as “bullet-proof” or “full-anonymity” or any others within these meanings are not acceptable and would cause immediate termination of participation in the Affiliate program.

You may not use the keywords coupons, discounts or similar terms in your search engine optimization, the title of the page or meta title without advanced permission, even if you have a custom code you are promoting. Whether an affiliate is classified as a coupon affiliate is the sole discretion of the is*hosting. Factors that could cause a site to be classified as a coupon site include coupon offerings especially from many different merchants and a focus on savings or deals rather than on the products and features of a merchant.

Affiliates ARE allowed to keyword bid. The only restrictions are on trademark terms relating to, and including search terms that have "is*hosting". This is in addition to any and all other variations of our trademark including but not limited to, "is*hosting". Affiliates in violation of our PPC rules may also be subject to account suspension or termination. Affiliates are required to add the following negative campaign keywords when keyword bidding:

- is*hosting

- ishosting

- is hosting

- ishosting.com

Sales will be voided (and potentially chargeback) when these rules are violated. 

5. Anti-spam Policy

We do not and will not tolerate the sending of unsolicited email messages and will prosecute all offenders to the fullest extent of the law. By agreeing to the terms and conditions of this Agreement, you also agree to the following:

• e-mails promoting the is*hosting shall not contain or include a falsified sender domain name or falsified IP address;
• e-mails promoting the is*hosting advertisements shall not be routed or relayed through servers that the sender does not have explicit authorization to use;
• e-mails promoting the is*hosting advertisements shall not contain or include a false or misleading subject line that attempts to disguise or conceal the content of the e-mail;
• all e-mails shall contain or include valid and responsive contact information of the sender, list manager or list owner; This includes your physical address.
• no e-mails promoting the is*hosting shall be sent for the purpose of harvesting the e-mail addresses in order to send future unsolicited e-mails;
• all e-mails promoting the is*hosting will be sent to individuals who have given you their Affirmative Consent as defined in Sec. 3.1 of the CAN-SPAM Act of 2003 (viewable at GPOAccess.gov);
• every e-mail promoting the is*hosting advertisements shall contain a functioning return electronic mail address or other Internet-based mechanism clearly displayed that a recipient may use to submit in a manner specified in the message a reply electronic mail message or other form of Internet-based communication requesting not to receive future e-mail messages from you;
• unless otherwise directed by the is*hosting in writing, you shall not use the is*hosting, or it's represented advertisers names (including any variations thereof) or any trademark, trade name, service mark, logo or other is*hosting identifying information in the originating or return e-mail address line, header or subject line of any e-mail transmission and that all e-mail transmissions shall contain language in the body and both the "from" line as well as the "re:" line that clearly announces that the offer embedded in the e-mail is being sent by you for the benefit of your users;
• you agree and affirm to comply with all the rules and regulations set forth in the CAN-SPAM Act of 2003 as well as all obligations and provisions herein.

6. Disclaimer

The is*hosting does not express or imply any warranties or representations with respect to our Affiliate program or an affiliate's potential to earn income from our Affiliate program. We make no representation that either our site or that of the Affiliate program will be uninterrupted or error-free and we will not be liable for any consequences of interruptions or server downtime.

Each party agrees not to use the other's proprietary materials in any manner that is disparaging, misleading, obscene or that otherwise portrays the party in a negative light. Each party reserves all of its respective rights in the proprietary materials covered by this license. Other than the license granted in this Agreement, each party retains all right, title, and interest to its respective rights and no right, title, or interest is transferred to the other.

7. Limitations of Liability

THE IS*HOSTING SHALL NOT BE LIABLE FOR NONPERFORMANCE OR DELAY IN PERFORMANCE CAUSED BY ANY REASON, WHETHER WITHIN OR OUTSIDE OF ITS CONTROL. IN NO EVENT WILL THE IS*HOSTING PARTIES BE LIABLE TO YOU OR ANY THIRD PERSON FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING FOR ANY LOST PROFITS OR LOST DATA ARISING FROM YOUR USE OF THE SERVICES OR PARTICIPATING IN THE AFFILIATE PROGRAM, EVEN IF THE IS*HOSTING IS AWARE OR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Indemnification

You hereby agree to indemnify and hold harmless the is*hosting, and its subsidiaries and affiliates, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of your affiliate trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary right of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant or breach of this Agreement made by you herein, or (iii) any claim related to your site, including, without limitation, content therein not attributable to us.

9. Confidentiality

All confidential information, including, but not limited to, any business, technical, financial, and customer information, disclosed by one party to the other during negotiation or the effective term of this Agreement which is marked "Confidential," or should be understood as confidential under the circumstances, will remain the sole property of the disclosing party, and each party will keep in confidence and not use or disclose such proprietary information of the other party without express written permission of the disclosing party or without a corresponding decision of an authorized law enforcement, judicial or other state body.

10. Changes

The is*hosting reserves the right to make changes to this Agreement at any time and solely at our discretion. Continued participation in our Affiliate program constitutes your agreement to any and all changes made to this agreement.

11. Miscellaneous

11.1. This Agreement represents the entire agreement between us and you in the scope of the Affiliate program. Any of provisions of this Agreement shouldn’t be viewed in disruption of any provisions of all the is*hosting related Terms and Policies. Incase of a conflict between provisions of this Agreement and other Terms and Policies, the other Terms’s and Policies’s provisions of the is*hosting prevail.

11.2. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is effectuated, and the remainder of this agreement shall have full force and effect.

11.3. Any controversy or claim arising out of or relating to these Terms, the formation of these Terms or the breach of these Terms, including any claim based upon or arising from an alleged tort, shall be governed by the substantive laws of the country of defendant.
